1. Agreement to Terms

By accessing or using the website and services provided by Hansel Technologies Limited (“Hansel,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service. If you do not agree, please do not use our website or services. Hansel Technologies is a company registered in Kenya with offices at 12th Floor Westpark Towers, Mpesi Lane, Nairobi.

2. Services

Hansel Technologies provides custom software engineering services including but not limited to: full-stack platform development, mobile application development, AI/ML product development, e-commerce systems, healthcare technology solutions, and risk management software. The specific scope, deliverables, timeline, and cost of any engagement will be defined in a separate project agreement or statement of work.

3. Project Agreements

All software development engagements are governed by a separate project agreement that will specify:

• Scope of work and deliverables.
• Project timeline and milestones.
• Payment terms and schedule.
• Intellectual property ownership and licensing.
• Confidentiality obligations.
• Warranties and support terms.

In the event of any conflict between these Terms of Service and a project agreement, the project agreement will prevail.

4. Intellectual Property

Unless otherwise specified in a project agreement:

• All content on this website, including text, graphics, logos, and design, is the property of Hansel Technologies and is protected by applicable intellectual property laws.
• Custom software developed for clients will be subject to the intellectual property terms defined in the respective project agreement.
• Hansel Technologies retains ownership of proprietary tools, frameworks, and reusable components developed independently of any client engagement.

5. Client Responsibilities

When engaging our services, clients are expected to:

• Provide accurate and complete project requirements and business information.
• Make timely decisions and provide feedback within agreed-upon timeframes.
• Provide access to necessary systems, data, and resources as required.
• Ensure that all content, data, and materials provided do not infringe on any third-party rights.
• Adhere to the payment schedule outlined in the project agreement.

6. Payment Terms

Payment terms, including amounts, milestones, and methods, will be specified in individual project agreements. Unless otherwise agreed, invoices are due within 14 days of issuance. Late payments may incur interest at the rate specified in the project agreement or as permitted by Kenyan law.

7. Confidentiality

Both parties agree to keep confidential all proprietary information disclosed during the engagement. This includes business strategies, technical specifications, source code, user data, and any information marked as confidential. This obligation survives the termination of any engagement.

8. Warranties and Disclaimers

Hansel Technologies will perform all services with reasonable skill and care consistent with industry standards. Specific warranties related to software deliverables, including bug-fix periods and uptime commitments, will be defined in individual project agreements.

This website is provided “as is” without warranties of any kind, express or implied. We do not warrant that the website will be uninterrupted, error-free, or free of harmful components.

9. Limitation of Liability

To the maximum extent permitted by Kenyan law, Hansel Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of our website or services. Our total liability for any claim arising from a project engagement shall not exceed the total fees paid by the client for that specific engagement.

10. Termination

Either party may terminate a project engagement as specified in the applicable project agreement. Upon termination, the client shall pay for all work completed up to the termination date. Provisions relating to intellectual property, confidentiality, and limitation of liability shall survive termination.

11. Governing Law

These Terms of Service and any disputes arising from them shall be governed by and construed in accordance with the laws of Kenya. Any disputes that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the courts of Nairobi, Kenya.

12. Changes to These Terms

We reserve the right to update these Terms of Service at any time. Changes will be posted on this page with an updated revision date. Continued use of our website or services after changes constitutes acceptance of the revised terms. For active project engagements, changes to terms will not affect existing project agreements.
